1. Purpose and Scope
1.1 Purpose
This AI CTRL Fair Use Policy (the "Policy") governs use of AI CTRL under the Master Services Agreement ("MSA") between Expedient and the customer receiving AI CTRL services (the "Customer"). Expedient does not intend to invoke this Policy unless the Customer's or User's use negatively impacts the experience of other customers or users. Any steps taken as a result of the application of this Policy shall be taken with the goal of minimizing any unnecessary interruptions of Customer's and User's legitimate use of AI CTRL.
1.2 Users
An individual authorized to access AI CTRL through a Customer account is a "User." Customers are responsible for ensuring their Users comply with this Policy.
1.3 Service Objective
AI CTRL is designed to provide broad access to artificial intelligence tools while maintaining predictable costs, platform performance, security, and availability for all customers.
1.4 Service Models
AI CTRL may be offered on a per-seat basis (the "Per Seat Model") or a consumption basis (the "Credit Model"). The Per Seat Model provides Unlimited use subject to the reasonable limitations described in this Policy.
1.5 Defined Terms
Capitalized terms not defined in this Policy have the meanings provided in the MSA.
2. Unlimited Use
2.1 Definition
"Unlimited" means reasonable, interactive use of AI CTRL by an authenticated individual User through the AI CTRL web, desktop, or mobile interface.
2.2 Eligible Use
Unlimited use is intended for normal personal and professional use and does not impose a fixed credit limit or per-prompt charge on eligible Per Seat Model usage.
2.3 Interactive Use Requirement
To qualify as Unlimited use, requests must be initiated by a User through AI CTRL's standard interactive login process and submitted through direct human interaction.
2.4 Excluded Usage
Unlimited use does not include:
- API, SDK, or other programmatic access;
- scripts, macros, bots, or automated request submission;
- agents or autonomous workflows;
- batch or bulk processing;
- concurrent or persistent automated sessions;
- sustained interactive software development; or
- models, features, or services outside the User's assigned service tier.
2.5 Consumption-Based Usage
Usage that does not meet the requirements for Unlimited use may be subject to consumption-based charges, committed usage allocations, separate service plans, or Administrator-configured restrictions.
2.6 Programmatic Authentication
Requests authenticated using an API key, personal access token, service account, OAuth client credential, or other non-interactive credential are considered programmatic use regardless of the interface through which the request is submitted.
2.7 Individual User Accounts
User accounts and Per Seat Model access are assigned to individual Users and may not be shared or used to provide access to multiple individuals or to circumvent applicable licensing, usage, or access restrictions.
3. Software Development
3.1 Permitted Assistance
Unlimited use includes reasonable conversational assistance with software development, such as programming questions, code explanation or review, troubleshooting specific errors, and generating limited code examples or snippets.
3.2 Sustained Development Workloads
Unlimited use does not include using the AI CTRL interactive chat interface as a substitute for a coding agent, integrated development environment, or sustained software development workflow. This includes sustained generation, modification, debugging, refactoring, testing, or maintenance of software applications or source-code repositories.
3.3 Development Services
Software development workloads that fall outside Unlimited use must use an AI CTRL service, feature, or consumption model designated for software development, agentic, or consumption-based workloads.
4. Models and Features
4.1 Model Selection
AI CTRL may provide access to multiple artificial intelligence models and may use a smart model router to select an appropriate model for a User's request.
4.2 Model Tiers
Unlimited use is primarily designed around models designated by Expedient as standard or open models. Frontier models, specialized models, agents, tools, and other premium features may be subject to separate usage limits, consumption-based charges, or Administrator-configured controls.
4.3 Changes to Models and Features
The models and features available through AI CTRL may change over time. Expedient may add, replace, restrict, or discontinue models. Expedient may also add, replace, restrict, or discontinue features based on availability, performance, security, provider requirements, changes in provider pricing models, or changes to the AI CTRL service.
4.4 Third-Party Models
Certain models or features may be provided by third parties and may be subject to additional provider-specific usage restrictions. Where applicable, Expedient will make such restrictions available through AI CTRL, product documentation, or other reasonable notice.
5. Fair and Reasonable Use
5.1 General Standard
Unlimited use is intended to support normal personal and professional use of AI CTRL. High usage alone shall not serve as the basis for violation of this Policy.
5.2 Shared Infrastructure
Because AI CTRL operates on shared infrastructure and may rely on third-party AI services, Users may not use AI CTRL in a manner that creates a sustained, disproportionate workload or materially affects, or creates a reasonable risk of materially affecting, the performance, stability, security, or availability of AI CTRL.
5.3 Excess Usage
"Excess Usage" means sustained or unusually intensive usage that creates an impact or risk described in Section 5.2. Expedient may consider factors including, but not limited to: request frequency, concurrency, duration, resource consumption, workload characteristics, and impact on shared infrastructure when determining whether usage constitutes Excess Usage.
5.4 Resolution
When reasonably practicable, Expedient will notify the Customer of Excess Usage and work with the Customer to identify an appropriate resolution. Such resolution may include:
- modifying the affected workload;
- applying reasonable technical limits; or
- moving the affected workload to an appropriate consumption-based service or service tier.
5.5 Temporary Restrictions
Expedient may temporarily throttle, restrict, or limit affected usage when reasonably necessary to protect AI CTRL, its underlying infrastructure, or other customers.
5.6 Immediate Action
If immediate action is reasonably necessary to protect the security, integrity, or availability of AI CTRL or other customers, Expedient may impose temporary restrictions before providing notice.
5.7 Removal of Restrictions
Restrictions imposed solely because of Excess Usage will be removed when Expedient, in its sole discretion, reasonably determines that the condition causing the restriction has been resolved.
6. Prohibited Commercial Use
6.1 Permitted Business Use
Customers and Users may use AI CTRL and its outputs in their ordinary business activities, including creating content, software, applications, and other products or services, subject to the MSA and this Policy. Customers may also provide access to AI CTRL to its clients, partners, etc. (each a "Third Party User"); provided, however, that any Customer providing such access shall be responsible for any violations of this Policy by any Third Party Users to whom they grant such access.
6.2 Prohibited Activities
Customers and Users may not:
- resell, sublicense, share, or otherwise provide access to AI CTRL as a standalone service to third parties without Expedient's written authorization;
- reverse engineer or systematically probe or attempt to discover or extract the underlying architecture, non-public system prompts, model routing, security controls, or other non-public components of AI CTRL, except to the extent such restriction is prohibited by applicable law; or
- use AI CTRL, its non-public functionality, or systematic extraction of AI CTRL outputs for the primary purpose of creating, training, or materially improving a service intended to compete directly with AI CTRL.
7. Prohibited and Harmful Use
7.1 General Prohibition
Customers and Users may not use AI CTRL to engage in unlawful activity or to intentionally facilitate material harm.
7.2 Prohibited Activities
Without limiting Section 7.1, AI CTRL may not be used to:
- threaten, intimidate, harass, unlawfully discriminate against, or intentionally facilitate harm to others;
- create or distribute content that is unlawful, defamatory, fraudulent, or intended to deceive others in a manner likely to cause material harm;
- create, distribute, solicit, or facilitate child sexual abuse material or sexual content involving minors;
- create or distribute non-consensual intimate content;
- create deceptive impersonations, deepfakes, or other synthetic media intended to defraud, impersonate without authorization, or materially harm another person;
- facilitate unlawful violence or the unlawful development, acquisition, manufacture, or use of weapons;
- sell, procure, distribute, or facilitate illegal goods or services;
- gain or facilitate unauthorized access to, disruption of, damage to, or compromise of systems, networks, accounts, devices, or data;
- conduct unauthorized surveillance, intelligence gathering, or collection of personal information in violation of applicable law;
- infringe or misappropriate the intellectual property, privacy, publicity, confidentiality, or other legal rights of others;
- violate applicable export controls, economic sanctions, or national-security laws;
- circumvent or attempt to defeat AI CTRL security controls, safeguards, authentication requirements, model restrictions, usage restrictions, or other technical limitations; or
- engage in any other activity prohibited by applicable law.
7.3 Legitimate Activities
Nothing in this Section is intended to prohibit legitimate research, analysis, testing, cybersecurity, safety, educational, or other lawful professional activities conducted with appropriate authorization.
8. User Responsibility for Output
8.1 Accuracy of Output
AI-generated outputs may be inaccurate, incomplete, misleading, or outdated and may contain incorrect citations, references, or other errors. Users are responsible for reviewing and verifying AI CTRL outputs before relying on them or using them to make decisions.
8.2 Non-Unique Output and Third-Party Rights
AI-generated outputs may not be unique, and the same or similar outputs may be generated for other Users. Outputs may also contain or resemble material protected by intellectual property or other third-party rights. Users are responsible for ensuring that their use of AI CTRL outputs complies with applicable law and third-party rights.
8.3 Human Review and Professional Judgment
Users are responsible for applying appropriate human review and professional judgment when using AI CTRL output for decisions that may materially affect an individual's rights, health, safety, finances, employment, or access to essential services.
8.4 Responsibility for Use
Users remain responsible for how they use, publish, distribute, or act upon AI CTRL outputs.
9. Enforcement
9.1 General Approach
Expedient's goal is to address violations of this Policy without unnecessarily interrupting legitimate use of AI CTRL.
9.2 Notice and Opportunity to Correct
When reasonably practicable, Expedient will notify the Customer of a suspected violation and provide a reasonable opportunity to correct the issue.
9.3 Enforcement Actions
Depending on the nature, severity, and frequency of a violation, Expedient may take reasonable action, including:
- limiting or throttling affected usage or features;
- requiring the affected workload to use an appropriate service or consumption model;
- temporarily suspending access; or
- terminating access for material or repeated violations.
9.4 Immediate Action
Expedient may take immediate action without prior notice when reasonably necessary to:
- protect the security, integrity, or availability of AI CTRL or its underlying infrastructure;
- protect other customers or third parties;
- address fraudulent, unlawful, abusive, or materially harmful activity; or
- comply with applicable law or legal process.
9.5 Scope of Enforcement
Where appropriate, Expedient will limit enforcement actions to the User, workload, feature, or activity responsible for the violation rather than restricting unaffected Customer use.
10. Reporting and Contact
10.1 Contact
Questions, suspected violations, or concerns regarding this Policy may be reported to legal-notices@expedient.com or through Expedient's Support Management Console.
11. Changes to This Policy
11.1 Policy Updates
Expedient may update this Policy from time to time to reflect changes to AI CTRL, applicable law, security requirements, or underlying technology and services.
11.2 Notice of Material Changes
Expedient will use commercially reasonable efforts to provide advance notice of material changes that significantly affect Customer use of AI CTRL.
